Terms of Service

  1. SUBJECT

Lime Academy Ltd. (“we”, “our”, “us”, “Lime Academy” or Company), with UIC 206575593, registered office address in Sofia, 23A Dragan Tsankov Blvd., floor 1, office 6 organizes and conducts informal paid training courses (“Training Course(s)”) in the field of information technology and computer programming with a focus on technical and blockchain training. Lime Academy wants to motivate and stimulate the successful completion of the Training Course from the participants in the latter by providing them an opportunity to find a job in a company from the Lime Academy group or a partner of Lime Academy (“Company Partner”) in a position corresponding to the knowledge and skills acquired during the Training Courses.

These Terms of Service for the Training Course (“Terms”) are intended to establish the rules and conditions for conducting the Training Courses and to regulate the rights and responsibilities that result from the agreement (“Agreement”) between Lime Academy and the students of Lime Academy (the “Student(s)”). 

These Terms are entered into between you (hereinafter referred to as “you” or “your” or “Student”) and Lime Academy. 

These Terms are a binding Agreement between you and us regarding the provision of the Training Course, unless a different set of terms of service is set out on a specific site, in which case these Terms will supplement the applicable set of terms of service. 

We, along with our affiliates and partners, provide the Training Course to you through our website LimeAcademy.tech (the “Website”) and/or through our partners’ websites and platforms (the “Partners’ Platforms”). The access and use of the Training Course on these platforms are subject to these Terms and the applicable terms and conditions of the respective platform. By accessing and using the Training Course through these platforms, you agree to abide by these Terms and any other relevant terms and conditions.

  1. DEFINITIONS
  • Account – an account created for the Student on the Website (including on our Partners’ Platforms and/or websites), which allows them to access the Training Content including but not limited to materials, tests and personal information.
  • Company – Lime Academy Ltd., with registration number UIC 206575593, address Bulgaria, Sofia city, 23A Dragan Tsankov Blvd., floor 1, office 6     
  • Cookies – a small amount of information that a web server sends to a web browser, allowing the server to collect feedback from the browser.
  • Training Content – text, drawings, photographs, graphics, sketches, presentations, lectures, screencasts and other information provided to the Student by the Lime Academy through the Training Course.
  • Training Course Price – price of the Training Course
  • Engagement Contract – an employment agreement, civil or other contractual relationship, in compliance with the applicable law, concluded between the Student and Company Partner after successful completion of the Training Course by the Student


III. TRAINING COURSE(S)

We, are fully committed to delivering an immersive and enjoyable training experience for our Students, while at the same time safeguarding the interests and rights of all parties involved.

The Training Course will span over a period of nine (9) weeks, as per the schedule specified on the Lime Academy website (limeacademy.tech) and any additional agreement reached between the Parties.

The Training Course will comprise the preparation and completion of a practical assignment (“Practical Assignment”) under the direction and supervision of a mentor, who will work one-on-one with the Student to provide guidance and support in order to successfully complete the Practical Assignment. In addition to specific training content, the successful completion of the Practical Assignment will provide the Student with the opportunity to collaborate with other students.

The Student acknowledges and confirms that they have the necessary skills, knowledge, and experience in the field of computer programming, having a minimum of two (2) years of practical exposure. The Student understands and accepts that the successful completion of the Training Course is solely their responsibility and not dependent on any previous demonstration or assurance of proficiency by any third party. The Student further acknowledges that the ultimate success of the Training Course is contingent on the Student’s dedication, effort, and ability to learn and apply the material taught. The Student will be required to actively participate in class, complete all assigned coursework and projects, and meet the performance standards set by Lime Academy. 

The Training Content includes access to carefully crafted lectures, comprehensive handbooks, informative articles, challenging testing materials, hands-on practical assignments, one-on-one mentorship, and collaboration opportunities with other Students, as well as a rich array of multimedia resources, including text, graphics, audio, and video materials, databases, and photos, etc.

Subject to the successful completion of the Training Course, Lime Academy may offer the Student a job opportunity on behalf of one of its Company Partners for the conclusion of an employment agreement, civil contract or any other contractual relationship, in accordance with relevant laws and regulations (the “Engagement Contract”). The Engagement Contract will require a minimum probationary period of six months in favor of the prospective employer.

To be considered successful, the Student must have successfully completed at least 80% of the predefined functionalities in the Practical Assignment.

  1. ACCOUNT

For accessing Training Content an account may be required. When setting up and maintaining your account (including through our Partners’ Platforms and/or websites), you must provide and continue to provide accurate and complete information, including a valid email address. You have complete responsibility for your account and everything that happens on your account, including for any harm or damage (to us or anyone else) caused by someone using your account without your permission. This means you need to be careful with your password. You may not transfer your account to someone else or use someone else’s account. 

If you contact us to request access to an account, we will not grant you such access unless you can provide us with the information that we need to prove you are the owner of that account. 

You may not share your account login credentials with anyone else. You are responsible for what happens with your account. You must notify us immediately upon learning that someone else may be using your account without your permission (or if you suspect any other breach of security). We may request some information from you to confirm that you are indeed the owner of your account.

Students must be at least 18 years of age to create an account and use the Training Courses. If we discover that you have created an account that violates these rules, we will terminate your account. 

The Account shall be used by one person only and we have the right to take restrictive and corrective measures against a Student for not complying with this requirement, including by closure of the account without notice.

By accepting these Terms, the Student agrees that the Lime Academy Website / Partners Platforms may track the Student’s activity and consumption of content.

  1. PAYMENTS

The Student shall pay the Training Course Price according to the prices announced by the Lime Academy on its Website.

We occasionally may run promotions and sales for our Training Courses, during which specific Training Courses are available at discounted prices for a set period of time. The price applicable to the Training Course will be the price at the time you complete your purchase of the content (at checkout). 

The Training Course Price may be paid in full as a single installment or in three equal payments over a three-month period (“Three Installments Option”). Upon choosing the Three Installments Option, you acknowledge your responsibility for making timely payments in accordance with the agreed schedule. The subsequent payments may be also automatically charged to the payment method on file on a monthly basis, without the need for further authorization from you, until you provide written notice of any changes to your payment method. Please note that such notice must be provided in a timely manner to allow Lime Academy to reasonably act on it.

For clarity, the payment terms for recurring automatic payments are not contingent upon the duration of the Training Course or the availability of the Training Content. The recurring payments will continue in accordance with the agreed schedule, regardless of the completion of the Training Course or access to the Training Content.

The available payment methods for the Training Course fees may include debit and credit card payment. The Student is responsible for any transaction fees associated with their chosen payment method. Stripe is our non-exclusive payment processing partner of the Training Courses across all territories and shall be in charge and would support all aspects related to the execution of the payment transaction. Any card payments on the Website are made by a Student in Stripe’s system at checkout and are stored on Stripe’s servers. At no point in the payment process does Lime Academy have access to the Student’s payment details.

The Company reserves the right to add or remove payment methods at any time and without prior notice to the Student. 

A receipt of payment is considered confirmed by sending of a payment receipt confirmation by Lime Academy, by confirmation of successful payment by the payment service provider or by other appropriate confirmation, if any.

In the event that a Student fails to make timely payment of the due Training Course Price or any installment, access to the Training Course and its content will be suspended until full payment is received. If full payment is not received within seven (7) days, or any other time limit as instructed by Lime Academy, the Student’s registration may be canceled. In such cases, the Student may be required to re-register and pay any applicable fees to regain access to the Training Course. Any previously paid fees will not be refundable in the event of cancellation due to non-payment. Lime Academy reserves the right to take further legal action to recover any outstanding amounts owed.

  1. PROMO CODES

We may, in our sole discretion, create referral and/or promotional codes (“Promo Codes”) that may be redeemed for discounts against due fees, or for other features or benefits provided through the Website, subject to any additional terms that we may (in our sole discretion) establish in respect of such Promo Codes. They can be activated following the instructions indicated accordingly in the Website.

You acknowledge and agree that the Promo Codes are one-time offers and can only be redeemed via the Website. We reserve the right to modify or cancel Promo Codes at any time. Promo Codes are non-transferable and may not be resold.

VII. TRAINING COURSE PRICE REFUND

The Training Course Price is non-refundable, except as expressly provided in these Terms. For the avoidance of any doubt the Training Course Price shall not be refunded, if (i) the Student abandons the Training Course; (ii) the Training Course is not successfully completed; (iii) these Terms are terminated, for any reason whatsoever, and/or for any other reason resulting in an objective inability of the Student to complete the Training Course.

“The Training Course Price may be eligible for a refund subject to the fulfillment of the following cumulative conditions:

  • The Student has successfully completed the Training Course;
  • Within six (6) months from the date of completion of the Training Course, the Student has entered into an Engagement Contract with a Company Partner, with a minimum commitment of 40 hours per week;
  • The Engagement Contract has not been terminated for any reason within seven (7) months from the start of employment.

If all of the above conditions are met, the Training Course Price will be refunded within 28 days of receipt of the required evidence by Lime Academy, demonstrating the fulfillment of all conditions precedent. Please note that this refund policy is subject to change at any time.

For the avoidance of doubt, in the event that the Student successfully completes the Training Course and concludes an Engagement Contract with a Company Partner, however the Engagement Contract is terminated prior to the expiry of the six-month probationary period, regardless of the reason therefor, the Training Course Price shall not be refundable.

In the event that Lime Academy terminates the Agreement, the Student shall be eligible for a partial refund of the Training Course Price, as follows:

  • If the Agreement is terminated by the end of the second week of the Training Course, 60% of the Training Course Price shall be refunded to the Student.
  • If the Agreement is terminated by the end of the fourth week of the Training Course, 40% of the Training Course Price shall be refunded to the Student.
  • If the Agreement is terminated by the end of the sixth week of the Training Course, 20% of the Training Course Price shall be refunded to the Student.
  • If the Agreement is terminated after the sixth week of the Training Course, no part of the Training Course Price shall be refunded to the Student.

The reimbursement of the Training Course Price shall be made within 28 days following the effective date of termination of the Agreement.

VIII. RIGHTS AND OBLIGATIONS OF THE PARTIES

The Student shall have the right to use the Training Content in good faith and for its intended purpose.

The Student shall be responsible for:

  • Providing their own equipment to access the Training Course.
  • Taking all necessary measures to ensure successful completion of the Training Course, including:
  • Adhering to the established schedule and program of the Training Course.
  • Demonstrating independence and discipline in completing the Practical Assignments.
  • Completing all assigned exercises, tasks, and Practical Assignments within the designated timeframe and in accordance with mentor instructions.
  • Attending all required events, whether they be online or in-person.
  • Refraining from distributing or using in any manner, or making available or giving access to, any information, material, or content that contains malicious programs, such as computer viruses, Trojan horses, or other systems that could disrupt the normal operation of computer systems.
  • Avoiding the use of any software, scripts, programming languages, or other technologies that could create difficulties for other students, if applicable.
  • Abstaining from visiting the website through automated means for the purpose of systematically extracting information or functionally linking its content to another website.
  • Protecting Lime Academy’s property used for training purposes, if applicable, from any damage.
  • Maintaining the confidentiality of information in accordance with the provisions outlined in these Terms.

Lime Academy has the right to amend and/or supplement the Training Content at any time.

Lime Academy shall:

  • Ensure prompt access to the Training Content and related communication channels with mentors and fellow students, providing prompt assistance in the event of any technical issues or malfunctions of the Training Content or communication channels.
  • Deliver high-quality, practical blockchain software training that aligns with the latest advancements in the field, while providing access to mentors who possess comprehensive knowledge and practical experience in computer programming and blockchain technology.
  • Provide reimbursement of the Training Course Price to the Student in accordance with the provisions outlined in these Terms.

Lime Academy is not obliged to use any particular software or software version to provide the Training Courses. Lime Academy is under no obligation to maintain, modify or add functionality to the Training Courses or to the software used to provide the Training Courses.

  1. SUSPENSION

Lime Academy reserves the right to temporarily suspend access to the Training Course in the following circumstances:

  • In the event of force majeure.
  • During technical maintenance, with prior notification to the students.
  • In the case of a violation of these Terms by the Student.
  • If the Training Course Price is not paid in accordance with these Terms during the period when the Student is given the opportunity to make payment.

Once the circumstances that led to the suspension have been resolved, access to the Training Course will be restored. Lime Academy is committed to promptly restoring access to the Training Content as soon as the issue has been resolved.

In the event that a Student’s use of our Website / Partners’ Platforms and Training Courses violates these Terms, we reserve the right to restrict, terminate or suspend their permission to use the Training Content, Website and/or Partners’ Platforms, including to ban their account, or delete their content at any time and without notice. This may include, but is not limited to, circumstances such as:

  • Failure to pay fees when due.
  • Fraudulent chargeback requests.
  • Request from law enforcement or government agencies.
  • Unexpected technical issues or problems.
  • Suspected fraudulent or illegal activities.
  • Any other reason is at our sole discretion.

Please note that even if a Student’s account is terminated, restricted or suspended, their content may still be available. The student agrees that Lime Academy will not be liable for any loss or damage that may result from the restriction or suspension of their account, removal of their content, or blocking of their access to the Website and/or Partners’ Platforms and/or Training Courses.

Finally, if a Student fails to comply with our standards of conduct and communication, we reserve the right to exclude them from the Website and/or Partners’ Platforms without notice or explanation.

  1. PERSONAL DATA

Lime Academy adopts and publishes on its website a Privacy Policy, available at http://limeacademy.tech/privacy-policy/

At any time before, during or after the provision of the Training Course, Lime Academy shall have the right to require the Student to identify himself and to verify the veracity of any of the circumstances and personal data disclosed during registration.

Lime Academy takes measures to protect the Student’s personal data in accordance with the Personal Data Protection Act. Lime Academy processes the personal data of the Student(s) solely for the purposes and performance of these Terms and to fulfil Lime Academy’s legal obligations as a data controller. The processing of the data provided by the Student is carried out in compliance with the principles of personal data protection set out in Regulation (EU) 2016/679, namely the principles of lawfulness, fairness and transparency of data processing, purpose limitation, data minimisation, accuracy; storage limitation, integrity, confidentiality and accountability.

By accepting these Terms the Student agrees that their personal data being provided to and processed by third parties – Company Partner(s) in connection with the conclusion of the Engagement Contract. The provision of personal data by Lime Academy to third parties is limited to the minimum information necessary for the selection of the Students and provision of an offer for the conclusion of the Engagement Contract and include the name and country of residence of the Student, the Student’s CV, information on previous experience and knowledge in specific programming languages, the project developed within the Training Course and its specifications and feedback from the Student’s mentor on his/her approach and progress in completing the practical assignment of the Training Course.

You represent and warrant that you agree and accept our Privacy Policy and agree that Lime Academy has the right to process your personal data in accordance with our Privacy Policy.

  1. CONFIDENTIALITY 

The Student agrees and undertakes to keep any confidential information and to disclose, divulge or use it for any purpose other than the performance of the Training Course.

Confidential Information within the meaning of these Terms is any information belonging to, concerning and/or relating to Lime Academy, its partners, suppliers, customers and/or which has come to the knowledge of the Student and is not publicly available. 

The Student agrees to maintain the confidentiality of all personal data and information regarding other participants in the Training Course (“Other Students”), including their contact details, and shall not disclose such information to any third party. This includes job offers or any other form of communication that is not sanctioned by Lime Academy or its affiliated partners. The Student further agrees not to directly or indirectly solicit job offers from any of these individuals. These obligations shall remain in effect indefinitely, even after the termination of these Terms. 

Should the Student breach this confidentiality clause, they may be subject to penalties under Bulgarian and European data protection laws (GDPR). In addition, the Student shall be liable to pay a penalty of EUR 9,000 (nine thousand Euro) to Lime Academy within ten (10) days of receipt of notice, in the event of any discovered breach of this clause.

  1. INTELLECTUAL PROPERTY

By accepting these Terms, the Student undertakes not to infringe the intellectual property rights of others when participating in the Training Course. All Training Content, including designs, software programs, databases, text, drawings, photographs, graphics, sketches, presentations and other information or elements, are subject to copyright under the protection of the Copyright and Related Rights Act and other laws applicable to intellectual property and are the property of Lime Academy and/or its partners who have provided the relevant Training Content.

When you participate in our Training Courses, you get a license from us to access the Training Content available on our Website and/or our partner`s platforms and websites. We grant you an access license for the respective Training Content, except when we must disable the content because of legal or policy reasons. In legal, more complete terms, Lime Academy grants you a limited, non-exclusive, non-transferable license to access and view the content for which you have paid all required fees, solely for your personal, non-commercial, educational purposes through the Training Courses, in accordance with these Terms and any conditions or restrictions associated with the particular content or feature of our Training Courses. All other uses are expressly prohibited.  

The Training Content is licensed, and not sold, to you. This license does not give you any right to  make screenshots, including to share account information with another person or illegally download the Training Content and share it on torrent sites. You shall not in any manner sell, resell, sublease, assign, license, or sublicense the Training Courses and/or Training Content or any component thereof or offer the same to third parties, for consideration or not. You shall not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, sublicense, or otherwise transfer or use any content unless we give you explicit permission to do so in a written agreement signed by a Lime Academy authorized representative.

The use of the Training Content is only permitted in connection with the educational purposes, subject to the retention of all copyright and other intellectual property rights notices. Reproduction, modification, public display, etc., of any part or all of the Training Content without the express written permission of Lime Academy is prohibited. Lime Academy reserves the right to discontinue the submission of information at any time without prior notice.

In case of providing to third parties, use, copying, printing or reproduction of educational materials and resources beyond the permissible personal use, and specified in these Terms, as well as in case of any other infringement of intellectual property rights on Lime Academy’s materials and resources provided as part of the Training Courses, the Student shall owe Lime Academy a penalty of EUR 10 000 (ten thousand) for each separate infringement.

The provisions of the preceding provision shall not deprive Lime Academy of the possibility to claim, on a general basis, the full amount of the damages suffered in excess of the amount of the agreed penalty.

XII.  LIMITATION OF LIABILITY

Lime Academy shall not be liable for any loss, damage or loss of profit resulting from the use of the Training Courses. Lime Academy does not warrant that the materials and information Training Courses provided are uninterrupted or error free.

Lime Academy shall not be liable for any damages or loss of profits resulting from the suspension, alteration or restriction of access to the Training Course, materials, information, deletion, modification, loss, unreliability, inaccuracy, or incompleteness of any messages, materials or information transmitted, used, recorded or made available in connection with the Training Courses.

The Training Courses and the information on the Website are provided “as is” and Lime Academy accepts no liability for the timeliness, deletion, failure to deliver or retention of the Student’s personal settings, or for any damages or loss of profits arising out of, resulting from or due to the use of the Training Course and information, including the inability to use due to technical problems, maintenance, etc. Lime Academy shall have no obligation to ensure that the Student’s particular or specific needs or requirements are met.

Lime Academy shall not be liable for any results or benefits not achieved by the Student during and after the completion of the Training Courses. Lime Academy shall not be liable to refund any or all of the fee for the Training Courses in the event that the Student does not achieve the expected outcomes and benefits during and after the use of the Training Courses.

Lime Academy shall not be liable for any damage caused to the software, hardware or other equipment, or for any loss of data arising from the information or other resources accessed or used in any way through the Website and/or our Partners’ Platforms and websites in connection with the Training Courses.

Lime Academy does not warrant that the Website(s) through which the Training Course is provided is free from computer viruses, Trojan horses or other malicious programs and systems that interfere with the normal operation of computer systems.

Lime Academy is not responsible for third-party websites, as well as for their content and products whose hyperlinks are accessible via the Website. The Student is responsible for his/her access to third-party websites, as well as all risks associated with accessing and using third-party content, products and services.

XIII. COMMUNICATIONS

All communications and notices exchanged between the parties shall be in writing.

The written form shall also be deemed to be complied with when they are made by e-mail, or other means of communication.

The written form shall also be deemed to have been complied with when Lime Academy places the relevant message or notification in a prominent place on the Website and/or our partner`s platforms and websites, where the Training Course is provided. Messages placed prominently on the abovementioned websites shall be deemed to have been received by the Student without the need for explicit confirmation.

  1. AMENDMENT AND ACCESS TO TERMS AND CONDITIONS

The most recent version of the Terms and Conditions, as published on the Website, shall be deemed to be the applicable version.

Lime Academy and the Student acknowledge and agree that any additions or amendments made to these Terms shall take effect against the Student upon notification by Lime Academy, provided that the Student has not rejected such changes within 7 days of receipt of the notification.

Notifications regarding any amendments made to these Terms and Conditions will be sent to the email address provided by the Student during their registration process for the Training Courses. The Student agrees that email communication from Lime Academy regarding any changes to these Terms shall be deemed effective, even if they are not signed with an electronic signature.

XVI. TERMINATION

The legal relationship between you and Lime Academy shall be terminated under the following circumstances:

  • Upon the completion of the chosen Training Course by the Student.
  • In the event of termination and liquidation or bankruptcy of Lime Academy.
  • Through mutual written agreement between the parties.
  • Upon giving two weeks written notice to either party.
  • Unilaterally by the non-breaching party after providing notice to the breaching party for rectifying any misperformance.
  • In case of objective impossibility for either party to fulfill its obligations.
  • In accordance with the provisions explicitly stated in these Terms of Service.
  • In the event of a material breach of these Terms of Service by the student, Lime Academy reserves the right to unilaterally terminate the legal relationship without prior notice if it determines that the Training Courses provided are being used in violation of these Terms, applicable laws in the Republic of Bulgaria, and generally accepted moral norms.


XVII. OTHER CONDITIONS

The invalidity of any provision of these Terms shall not invalidate the entire Terms

The laws of the Republic of Bulgaria shall apply to any matter not covered by thesе Terms relating to the performance and interpretation thereof.

All disputes between the parties to these Terms shall be settled in a good faith by negotiation between the parties. Should this prove impossible, all disputes arising out of this Terms shall be settled by the competent court in Sofia, Bulgaria.

These Terms and any policies or operating rules posted by us on the Website or with respect to the Website constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. 

These Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. 

If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions. 

There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms.. 

By agreeing to these Terms, you acknowledge that the language used cannot be interpreted in a manner that is unfavorable to us as the drafters. Furthermore, you voluntarily give up any objections or defenses that may arise due to the electronic format of these Terms and the absence of a physical signature

These Terms came into force for all Students on 01.02.2023
